Luxfer (NYSE: LXFR) keeps $17.37 buyout price while adding disclosures after two lawsuits

What happened

Luxfer Holdings PLC (NYSE: LXFR) added disclosures to its buyout proxy on Oct. 26 after two shareholder lawsuits. The $17.37 cash offer per share and the meeting timing do not change, the filing says.

The suits, Johnson v. Luxfer Holdings PLC and Thompson v. Luxfer Holdings PLC, were filed in the Supreme Court of the State of New York. They say the definitive proxy statement leaves out material information. Luxfer has also received shareholder demand letters asking for corrective disclosures.

Luxfer calls the claims without merit. It says it is adding to the proxy only to avoid delay and limit litigation costs, and admits no wrongdoing. The board still recommends that shareholders vote for every proposal.

The buyer is Double Eagle Acquisition Buyer, Inc., a new holding company owned by funds managed by Wynnchurch Capital, L.P.

Why it matters

The supplement lays out Deutsche Bank's valuation work, and the offer sits inside it. Deutsche Bank's discounted cash flow analysis implied values of $15.05 to $20.80 per share as of March 31, 2026. The offer is 1.9% above the $17.05 close on July 24, by OptimistFi's calculation.

Two analyst price targets of $19.00 to $22.00 equal $17.15 to $19.70 in present value, per the filing. That puts the offer just above the low end.

OptimistFi has argued that Luxfer's stock works only if niche engineering and self-help stabilize revenue and lift cash earnings. A completed buyout would replace that test with a cash price, so the view is mixed. Luxfer says the suits lack merit and the supplement changes neither price nor timing, so this may be a routine step. It also says more complaints or letters are possible.

What's next

Shareholders vote at the Scheme Meeting and a general meeting on Nov. 4. Approval at both, then sanction from the High Court of Justice in England and Wales, would keep the buyout on track. A vote against, or an injunction like the one the suits seek, would put Luxfer's own operating plan back at the center of the case.
