Professional Diversity Network (NASDAQ: IPDN) commits $1.18 million to AI systems

What happened

Professional Diversity Network, Inc. (NASDAQ: IPDN) said PDN Intelligence entered agreements with Goodwill Labs Inc. and HashForest Technology LLC on October 5, 2026. The package includes a lease, a collaboration agreement and a secured term loan tied to two NVIDIA B300 eight-GPU systems. The company said the agreements and the related equipment purchase call for about $1.18 million in initial capital commitments.

On October 6, 2026, the company also said it had placed an order with AMAX Engineering Corporation for one NVIDIA B300-based AI computing system and had paid 50% of the purchase price.

PDN Intelligence is buying one system from AMAX for $588,581.99 and lending Goodwill $588,849.23 for the second system. The two commitments differ by $267.24, so the initial build is split almost evenly between the lease and the loan. Title to the leased system passes directly from AMAX to PDN Intelligence. The company said it is funding both arrangements through intercompany funding to PDN Intelligence.

The lease has a 60-month base term, annual base rent of about $117,716 and a 20% rent rate on acquisition cost.

Why it matters

OptimistFi's case is that value still depends on fixing margins, liquidity and dilution, and this filing is mixed because it adds a new AI infrastructure line without proving the business yet. Under the collaboration agreement, Goodwill runs the project and contracts with customers. HashForest provides technical support and billing services. PDN Intelligence provides market growth services.

The main caution is in the filing. Delivery, installation and acceptance have not happened. The filing also says the company depends on a single counterparty, Goodwill, under each agreement. PDN Intelligence has little operating history in GPU infrastructure. The loan has no fixed interest and no scheduled principal payments, so future profit from the equipment will drive cash flow.

What's next

The next dated milestone is January 15, 2027. If the Leased Equipment does not arrive by then, PDN Intelligence may cancel the lease for the undelivered system and seek a refund from AMAX, although AMAX says GPU purchases are final. The lease starts when the equipment is delivered, installed and accepted at a data center in Hillsboro, Oregon. A timely start would support the rollout. A delay would weaken the case for the new business line.
