
What happened
Broadcom Inc. (NASDAQ: AVGO) filed a Form 4 showing that director and co-founder Henry Samueli sold 702,190 shares on September 23. Using the filing's weighted-average prices, the sales totaled about $250.0 million. He also gifted 72,474 shares.
That dollar figure can look like a warning from someone close to the business. The strongest version of the concern is reasonable: a founder-director chose to reduce exposure after a major AI-driven run, and insiders understand the company better than outside investors.
Why it matters
There is another limit. The Form 4 says the sales followed a Rule 10b5-1 plan adopted December 16, 2025, roughly nine months before execution. That does not prove valuation was irrelevant when the plan was created, but it makes the September trade a weak read on Samueli's current view.
The supporting case should not be waved away. About $250 million is real money, and any reduction in a co-founder's exposure deserves attention. Yet the filing reports transactions, not motive. It contains no warning about demand, margins, customers or guidance.
Broadcom Inc. (NASDAQ: AVGO) separately reported third-quarter revenue of $29.6 billion and $13.7 billion of free cash flow. Those results do not prove that shares of Broadcom Inc. (NASDAQ: AVGO) are attractively valued. They do show why an insider sale cannot substitute for an operating or valuation analysis.
What's next
Watch later Form 4 filings for repeated sales, a changed or terminated plan, or similar activity from multiple executives. Then compare those disclosures with AI semiconductor growth, infrastructure software results, margins and free cash flow.
For now, the bearish conclusion is unsupported. The filing proves a large planned sale, but the 0.84% proportional reduction and nine-month-old plan do not establish new trouble at Broadcom Inc. (NASDAQ: AVGO) or prove the stock is overvalued.
