Algonquin (NYSE: AQN) exits Chilean water utility with a $126.4 million sale

What happened

Algonquin Power Utilities Corp. (NYSE: AQN) sold its approximately 64% stake in Chilean water utility Suralis S.A. for total proceeds of approximately $126.4 million.

The buyer is a fund managed by Toesca S.A. Administradora General de Fondos. Algonquin announced completion on Oct. 30 and first announced the deal on Aug. 28.

The sale also carries an earnout opportunity of up to $1.5 million. That is a ceiling, not cash in hand.

Chief Executive Officer Rod West called the sale "another important step in simplifying our portfolio and sharpening our focus on our core regulated utility businesses." West added that the company's approach to portfolio decisions "remains disciplined and deliberate."

Why it matters

OptimistFi has argued that Algonquin creates value by reinvesting steady operating cash flow into accretive assets while keeping leverage in check. Turning a Chilean water stake into cash fits the leverage half of that view.

Algonquin says it expects the proceeds to go to debt paydown and to capital recycling into its 2026-2028 capital plan. Debt reduction is the direct link to leverage. The capital plan is where reinvestment would happen.

The deal went from announcement on Aug. 28 to completion on Oct. 30. The sale itself is no longer a pending item for holders to track. West's comments also frame the exit as part of a broader effort to concentrate on core regulated utility businesses.

The limits sit in the wording. The earnout is a maximum, and the use of proceeds is an expectation. A completed sale turns a stake into cash, while the debt paydown the company describes is still ahead.

What's next

Algonquin's next quarterly report is the first place to check how much of the proceeds went to debt paydown and how much moved into the 2026-2028 capital plan.

A split weighted toward debt would support the deleveraging side of OptimistFi's view. Redeployment into the capital plan would test the accretive-reinvestment side.
