Electrovaya (NASDAQ: ELVA) lines up $26 million in Janus truck-battery orders

What happened

Electrovaya Inc. (NASDAQ: ELVA) signed a supply deal with Janus Electric Holdings Limited (ASX: JNS) covering approximately $26 million in initial battery orders.

Janus is an Australian developer of diesel-to-electric conversion and battery-swapping systems for Class 8 heavy-duty trucks. The orders cover its initial demand in the United States and Canada. Electrovaya says deliveries are underway.

Electrovaya also signed a term sheet to invest about US$1.4 million (A$2.0 million) in Janus through a direct placement of up to 4.2 million shares. Janus will also issue up to 6.3 million warrants at no extra cost to Electrovaya.

Each warrant vests on issuance, lets Electrovaya buy one Janus share at 125% of the placement price and expires three years after issuance. The shares are priced at the five-day volume-weighted average on the ASX before signing.

Why it matters

The supply orders are far larger than the equity investment. The commercial relationship is the main event and the stake is secondary.

Janus says it has orders and commitments for 118 truck conversions in the United States and Canada. Each conversion uses approximately 600kWh of Electrovaya batteries, which use its Infinity Battery Technology.

OptimistFi has argued that ELVA works if its industrial battery niche stays differentiated enough to support premium margins while it funds scale without dilution. A heavy-duty trucking customer supports the differentiation point. The stake is money Electrovaya spends, not new shares it issues.

The orders will not become binding until a delivery schedule is confirmed, the release says. The Janus placement also needs ASX quotation of the shares and any required approvals.

What's next

Electrovaya expects its Jamestown, New York facility to come online during its 2027 fiscal year. The plant will make lithium-ion cells, modules and battery packs. Janus CEO Ben Hutt said Electrovaya's expanding North American manufacturing will be important as Janus scales.

The story strengthens if a delivery schedule is confirmed and the placement completes. It weakens if the orders stay non-binding. The next quarterly report is the next scheduled update.
