TCGX (NASDAQ: TCGX) lines up TriGemX deal with $246 million in proceeds

What happened

TCGX Acquisition Corp. (NASDAQ: TCGX) said it expects a TriGemX Bio, Inc. deal to close with about $246 million in gross proceeds.

If TCGX public shareholders do not redeem, the combined company is expected to have a post-transaction equity value of about $600 million at closing.

The presentation says TCGX and TriGemX plan to file a registration statement with a proxy statement and prospectus for shareholder approval. After it becomes effective, they plan to mail a final version.

Why it matters

The expected gross proceeds are about 41% of the combined company's expected equity value. That gives investors a quick read on the deal's size.

That matters because the presentation says TriGemX is a clinical-stage biopharmaceutical company with no product revenues, has incurred operating losses since inception and expects more financing.

TriGemX says it had about $111 million in cash as of October 1, 2026, and that cash was expected to fund operations into Q3 2027.

TriGemX also says elismetrep is in Phase 3 for acute treatment of migraine, with readout expected in mid-2027 and early 2028 and an NDA targeted for mid-2028.

The presentation says Phase 2b showed placebo-adjusted +10.5% pain freedom, +14.0% MBS freedom and +16.4% pain relief at 2 hours for the 20 mg dose.

It also says favorable safety data came from 13 clinical trials with about 1,000 subjects exposed to elismetrep.

The presentation says certain U.S. patents run into the mid-2040s.

It also says the combined company will have broad discretion in using net proceeds from the private placement.

The key caveat is that both the valuation and the proceeds assume no redemptions, the proceeds are before transaction costs and the filing says there can be no assurance the transaction closes.

What's next

Next, TCGX and TriGemX plan to file the registration statement that will include the proxy statement and prospectus for the shareholder meeting.

If that filing moves ahead and shareholders approve the deal, it would support the path to closing.

Heavy redemptions or a failed vote would weaken the financing base and the deal's route to closing.
