Super League (NASDAQ: SLE) clears Metaplanet deal and Bitcoin treasury shift

What happened

Super League Enterprise, Inc. (NASDAQ: SLE) said stockholders approved all proposals at the 2026 Annual Meeting on October 16, 2026.

That approval clears the Metaplanet package. Under it, Metaplanet Holdings, Inc. will contribute 2,100 Bitcoin and $2.5 million in cash at closing.

In return, Metaplanet would receive 44,859,400 shares of common stock at $3.00 each, 100 shares of convertible perpetual preferred stock, and ten-year warrants for up to 381,000,000 shares.

Super League said the deal is expected to close in the fourth quarter of 2026, subject to customary closing conditions and required filings with Nasdaq Capital Market.

Stockholders also approved issuance of up to 435,859,500 shares under the subscription agreements.

Separately, the company said it bought two Bitcoin on October 16 for an average price of $81,444.82 each as it explores Bitcoin as a treasury asset alongside cash and cash equivalents.

Why it matters

OptimistFi's case is that SLE needs to turn gaming-audience demand into repeatable activations before cash burn and dilution overwhelm holders.

The approved package gives the company a new capital path and a treasury model tied to Bitcoin. The press release says Super League will be renamed Superplanet, Inc. at closing.

OptimistFi's comparison shows the 2,100 Bitcoin was worth about $37.9 million more, or 28.7%, on October 16 than at the August 14 reference date.

That matters because the initial stock count for Metaplanet was fixed using the August 14 Bitcoin reference price, not the later higher value.

The filing says the transaction still needs customary closing conditions, and Bitcoin is volatile.

What's next

The next test is whether the transaction closes in the fourth quarter of 2026, subject to customary closing conditions.

If it closes, Super League will be renamed Superplanet, Inc. and trade on Nasdaq under the ticker SUPA.

At closing, Metaplanet would receive 44,859,400 shares of common stock at $3.00 per share, 100 shares of convertible perpetual preferred stock, and warrants for up to 381,000,000 shares.
