MKS Inc. (NASDAQ: MKSI) Agrees to Sell Optics Unit for $650 Million

What happened

MKS Inc. (NASDAQ: MKSI) agreed on October 19 to sell its Ophir Optics business to TTM Technologies, Inc. (NASDAQ: TTMI) for $650 million in cash. The deal could help MKS Inc. (NASDAQ: MKSI) reduce debt, but it has not closed and the company has not committed the proceeds to a specific repayment.

Ophir Optics supplies infrared imaging and laser-optics products for defense, security and industrial customers. It is separate from the Ophir Instruments laser-measurement business, which MKS Inc. (NASDAQ: MKSI) is keeping. The companies expect the sale to close in the second quarter of 2027, subject to regulatory and other approvals.

Why it matters

MKS Inc. (NASDAQ: MKSI) sells instruments, subsystems and materials used by semiconductor, electronics and industrial manufacturers. Customers pay for equipment and technology that helps control demanding production processes. The sale would turn one industrial product line into cash that could strengthen a balance sheet still carrying debt from the Atotech acquisition.

The scale is meaningful, though not transformational by itself. The $650 million agreed price equals about 43% of the $1.5 billion in secured term-loan principal MKS Inc. (NASDAQ: MKSI) reported at June 30. That comparison shows potential debt-reduction capacity, not a forecast: closing adjustments, taxes, transaction costs and management's allocation choices will determine the actual benefit. The company also reported $611 million in cash and cash equivalents at June 30.

Management said the price exceeds 18 times Ophir Optics' projected 2026 adjusted EBITDA. Dividing $650 million by 18 implies that projected measure is below roughly $36 million. This shows the earnings scale MKS Inc. (NASDAQ: MKSI) would surrender, but adjusted EBITDA is a forecast, is not GAAP profit, and was not reconciled to it in the announcement.

The countercase is that selling a specialized optics business gives up future earnings and exposure to defense and industrial demand. TTM Technologies, Inc. (NASDAQ: TTMI) may value those customers and products more highly within its own portfolio. The agreed price does not establish that MKS Inc. (NASDAQ: MKSI) will earn better returns with the cash.

What's next

Watch for regulatory clearance, the final price and the completed closing. Then compare any debt repayment and interest savings with the lost Ophir Optics earnings. If the deal slips or the cash is not used to improve returns or leverage, the balance-sheet argument weakens.
