What happened
LQR House Inc. (NASDAQ: YHC) said Sean Dollinger stepped down as chief executive officer on October 16, 2026, and Lihong Leo Chen became CEO immediately.
The board also named Kit Yan Mark Lau as chief financial officer, effective immediately. Kumar Abhishek resigned as CFO on the same date.
Under the resignation agreement, LQR House agreed to pay Dollinger a one-time $500,000 cash payment within eight days after the Resignation Date.
It also agreed to transfer all issued and outstanding stock of LQR House Acquisition Corp. to an entity Dollinger designates, subject to a separate stock purchase agreement.
The filing says that subsidiary's primary operations relate to the cwspirits.com website.

Why it matters
OptimistFi's case is that YHC is a speculative turnaround whose value depends on proving CWSpirits.com can attract alcohol e-commerce demand at positive unit economics before cash burn forces more dilution.
This filing weakens that setup because LQR House is moving the online spirits business out while it changes leadership and direction.
The press release said that direction centers on Fusion Five Continents Securities in New Zealand and a technology agreement with ByteDance.
The filing also says Chen has more than 10 years of executive management experience and previously managed 21 power station projects totaling over $1 billion.
That gives investors a clearer baseline for the new structure because the legacy spirits unit is being separated while leadership changes hands.
The stock transfer still depends on customary closing conditions and must close no later than 60 days after the Resignation Date.

What's next
The company said the cash payment is due within eight days following the Resignation Date.
The stock transfer is set to close no later than 60 days following the Resignation Date if the closing conditions and required approvals are met.
LQR House also said it will use commercially reasonable efforts to change its legal name within 90 days following October 16, 2026.
If the transfer closes on time, investors will have a cleaner read on the new structure.
