DataMeds AI (NASDAQ: MEDS) says it clears Nasdaq equity floor with REBOOT pact

What happened

DataMeds AI, Inc. (NASDAQ: MEDS) said on October 13, 2026, that it signed an intellectual property license and services deal with REBOOT Health AI, Inc. REBOOT granted DataMeds an exclusive U.S. license for GLP-1 user management in its direct-to-consumer weight management business. The license does not cover direct sales of REBOOT technology to healthcare providers, except for limited exceptions. DataMeds also said it cannot get source code or change the platform, and REBOOT keeps the platform and later upgrades.

In exchange, DataMeds must issue REBOOT 666,667 shares valued at $2 million and pay $50,000 within two business days. If the shares are worth less than $2 million after 180 days, DataMeds must issue more stock to make up the difference. The agreement runs until the last licensed patent expires or is invalid, unless an uncured material breach ends it earlier.

Why it matters

The filing says these transactions lifted stockholders' equity above Nasdaq's $2.5 million floor. DataMeds said it converted about $1.5 million of vendor payables into common stock from July 2026 to October 2026. It also said a settlement agreement and release extinguished about $18.7 million of debt. The related product and services agreement requires REBOOT to provide products and services for the reconfigured platform, and a revenue-sharing deal gives REBOOT part of adjusted gross revenue after certain costs.

Against the $(12,447,801) stockholders' deficit reported for the fiscal year ended December 31, 2025, OptimistFi's calculation shows at least $14.95 million of improvement. That supports the listing case, but Nasdaq has not confirmed compliance and says delisting proceedings could follow if the next periodic report does not show compliance.

What's next

DataMeds said it is waiting for Nasdaq to formally confirm that it has shown compliance with the continued listing standard. Nasdaq will keep monitoring compliance, and the company's next periodic report is the next test of whether stockholders' equity stays above $2.5 million. A report that still shows compliance would support the listing case. A miss could trigger delisting proceedings.
