
What happened
Stride, Inc. (NYSE: LRN) said October 8, 2026, that it entered a cooperation agreement with Fivespan Partners, LP and Dylan Haggart. Under the deal, Haggart will join the board on October 30, 2026. Dr. Steven Guttentag will first serve as a board observer before becoming a director after the 2026 annual meeting.
Stride also said it formed a capital allocation committee. Brian Shepherd and Haggart will co-chair it. Aida Alvarez and CEO Robert E. Knowling, Jr. are the other members. The investor group withdrew its director nominations, stockholder proposal and books and records demand for the 2026 annual meeting. It also agreed to standstill, voting and non-disparagement terms.

Why it matters
The board will stay at eight directors for now and rise to ten after the 2026 annual meeting. Nine of the ten directors will be independent. That is a 25% increase in board size, based on the filing's eight-to-ten shift. Haggart has more than 15 years of investment and public company governance experience. Fivespan is one of Stride's significant shareholders.
The committee is meant to review capital structure and capital allocation priorities. It will then publish a target capital structure and a framework for future cash flows to maximize long-term value. The filing stops there. Stride has not yet disclosed the target capital structure or the allocation rules it plans to use.

What's next
Stride said the committee's initial review is expected within the next three months. After that, it will publicly announce its target capital structure and a framework for future cash flows. That will be the next dated test of the agreement. A specific capital policy would show whether the committee is doing more than reshaping the board.
Haggart's board appointment becomes effective at the close of business on October 30, 2026, unless the parties agree earlier in writing. Stride's 2026 annual meeting of stockholders is set for December 10, 2026, when Haggart is slated for election and Guttentag is expected to become a director. A delay would leave the deal as a governance reset rather than a capital-action step.
