Why it matters
The filing gives AIR Global PLC a new capital-structure baseline after a $425 million financing. At about 88.5% of the $480.2 million principal amount in the 2025 Senior Facilities Agreement, the issue is nearly as large as that cited facility. The size and maturity make the notes the main new reference point in the capital structure.
The notes are senior guaranteed obligations of the issuer, so the debt sits inside the wider group structure named in the indenture. Total aggregate restricted payments under clause (n) cannot exceed the greater of $35.0 million or 25.0% of Consolidated Adjusted EBITDA. A single transaction or series of related transactions below the greater of $18.0 million and 12.5% of Consolidated Adjusted EBITDA is not an Asset Sale.
Those baskets show how much cash can leave the structure and how much asset turnover can happen without breaking the covenant language. The 2031 maturity also sets the refinancing timeline, so investors now have a fixed endpoint to measure against.

This filing is a financing close and covenant package, not an operating update. The next scheduled item in the indenture is the report to holders under Section 4.14. A later report showing the company within the covenant baskets would support the structure, while tighter headroom would weaken it.
