
Kingstone Companies (NASDAQ:KINS) held its 2026 annual meeting of stockholders virtually on Aug. 5, with stockholders electing six directors, ratifying the company’s independent auditor and approving executive compensation on a non-binding advisory basis.
Thomas Newgarden, the company’s non-executive chairman, chaired the meeting and said the virtual format was intended to make the annual meeting more inclusive and accessible to a broader number of stockholders. The meeting was Kingstone’s second virtual annual meeting.
American Election Services LLC, represented by John F. Halawa, served as inspector of election. The inspector advised that a quorum was present, allowing the company to proceed with formal business.
Directors Elected
Stockholders elected all six board nominees to serve until the next annual meeting of stockholders and until their successors are elected and qualified, or until their earlier resignation or removal.

Newgarden said the company had not received any advance notice from stockholders regarding nominations for directors beyond the board’s designated nominees.
Auditor and Executive Compensation Votes
Stockholders also ratified the selection of CBIZ CPAs, PC as Kingstone’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2026.
Newgarden noted that the board’s Audit Committee retains discretion to change the auditor during the year if it determines that doing so would be in the best interests of the company and its stockholders.
In the meeting’s final formal proposal, stockholders approved the compensation of Kingstone’s named executive officers through a non-binding advisory vote. The board had recommended that stockholders vote in favor of the executive-compensation proposal.
The polls closed at 9:00 a.m. on Aug. 5. The company said final voting results would be included in the inspector of election’s report, the meeting minutes and a current report on Form 8-K to be filed with the Securities and Exchange Commission.
Following the formal meeting, no stockholder questions were submitted. The annual meeting was then concluded.
